Terms and Conditions (T&Cs) for ShopNow24

1. Scope and Operator
1.1 Scope
These Terms and Conditions govern the contractual relationship between ShopNow24 GmbH (hereinafter “ShopNow24”, “we”, or “us”) and consumers and entrepreneurs (hereinafter “User” or “Customer”) using the online shop on the website (shopnow24.de) and the mobile application (collectively, the “Platform”).

1.3 Acceptance
By placing an order or registering an account, the Customer agrees to these T&Cs. Any differing terms of the Customer are expressly rejected unless we explicitly agree to them in writing.
2. User Account and Registration
2.1 Registration
To place orders, the Customer may register for a user account. Registration requires providing accurate and complete information, including name, address, and email address. The chosen password must be kept confidential and secure.
2.2 Responsibility
The User is fully responsible for all activities that occur under their account, unless the User proves that the misuse of the account was not their fault.
2.3 Termination
ShopNow24 reserves the right to suspend or terminate a user account if the User violates these T&Cs or legal provisions, or if the account is used for fraudulent purposes.
3. Conclusion of Contract
3.1 Offer and Order
The presentation of products in the online shop does not constitute a legally binding offer, but an invitation to the Customer to place an order. By clicking the “Buy Now” or similar button, the Customer places a binding offer to purchase the goods in the shopping cart.
3.2 Acceptance
The contract is concluded only when ShopNow24 explicitly accepts the Customer’s order by sending an order confirmation via email or by shipping the goods. Until that point, ShopNow24 may decline the order.
3.3 Contract Language

4. Prices, Payment Terms, and Retention of Title
4.1 Prices
All prices listed on the Platform are in [EUR] and include the statutory Value Added Tax (VAT) or sales tax, plus shipping costs.
4.2 Payment

4.3 Retention of Title
The delivered goods remain the property of ShopNow24 until full payment of the purchase price has been received.
5. Delivery and Shipping
5.1 Delivery Area
ShopNow24 operates in the European Union and the United Kingdom. The delivery area of each supermarket may differ and is determined individually by each store.
5.2 Delivery Times
Delivery times are stated on the respective product page. Stated delivery periods are non-binding estimates unless a delivery date is explicitly confirmed in writing.
5.3 Shipping Costs
Shipping costs are included in the product price. If there are additional shipping costs, they will be clearly communicated before the final order confirmation.
6. Right of Withdrawal (For Consumers)
6.1 Right of Withdrawal
If the Customer is a consumer, they generally have a statutory right of withdrawal/cancellation. The withdrawal period is [fourteen (14) days] from the day on which the Customer or a third party designated by the Customer (other than the carrier) took possession of the goods.
6.2 Exercise of the Right
To exercise the right of withdrawal, the Customer must inform us (using the contact details in Section 1.2) by means of a clear statement (e.g., a letter sent by post or an e-mail) of their decision to withdraw from the contract.
6.3 Consequences of Withdrawal
If the Customer withdraws from this contract, we shall reimburse all payments received from the Customer, including delivery costs (with the exception of the supplementary costs resulting from the Customer’s choice of a type of delivery other than the least expensive standard delivery offered by us), without undue delay and at the latest within fourteen days from the day on which we received the notification of withdrawal.
7. Warranty and Liability
7.1 Warranty
The statutory warranty provisions apply.
7.2 Liability
ShopNow24 is liable for damages caused by intent or gross negligence. For slight negligence, we are only liable in the event of a breach of a fundamental contractual obligation (cardinal duty). Any further liability for damages shall be excluded.
8. Customer Obligations
The Customer must ensure that the shipping address provided is correct and that delivery by the shipping company is possible during normal business hours. The Customer is responsible for any costs incurred due to incorrect address information.
9. Final Provisions
9.1 Applicable Law
The law of the [Federal Republic of Germany] shall apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
9.2 Severability Clause
Should any provision of these T&Cs be or become invalid or unenforceable, the validity of the remaining provisions shall remain unaffected. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision whose effects come closest to the economic objective that the contracting parties pursued with the invalid or unenforceable provision.
9.3 Online Dispute Resolution (ODR)
